Adam J. Yormack
Founder, Yormack Law. Coral Gables, Florida.

I came to law from finance. Before law school I worked as a funds analyst at Oppenheimer Funds, which is where I learned to read a deal from the money side first. That has shaped how I practice ever since.
I have been practicing in South Florida since 2014. The work divides roughly four ways. Most of it is corporate: forming entities, writing the operating and shareholder agreements, sorting out governance, and acting as outside general counsel to companies that need a lawyer regularly but not a full-time one. A large share is real estate, from acquisition and development through leasing and closing. A third piece is capital, meaning private placements, fund formation, and Opportunity Zone structures for sponsors raising money from private investors. And when a deal breaks, I litigate it.
That combination is the point. Most transactional lawyers hand you off when there is a dispute, and most litigators were not in the room when the agreement was drafted. I was. I have appeared in federal securities litigation, in SEC enforcement actions and in a shareholder derivative defense, and I have taken two companies public, AppScatter and International Battery Metals.
My clients are founders, sponsors, developers, and investors, and a meaningful number of them are outside the United States. I have worked with clients and counsel in Mexico, Israel, Colombia, Canada, the United Kingdom, and elsewhere, usually as their Florida counsel on a United States transaction.
I also own title and escrow companies in Florida and Colorado. They are separate businesses from the law firm.
